NUMI Collective Pty Ltd (ABN 82 690 817 193 | ACN 690 817 193) trading as NUMI Collective ("NUMI", "we", "us", "our") operates this website and provides hospitality design and related creative services. These Terms and Conditions of Use ("Terms") govern your access to and use of the NUMI Collective website located at www.numicollective.com ("Website") and any services offered through it.

By accessing or using the Website, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must cease using the Website immediately.

1. ABOUT NUMI COLLECTIVE

1.1 NUMI Collective Pty Ltd is a company registered in Australia with its principal place of business in Melbourne, Victoria 3122.

1.2 NUMI is a hospitality design studio specialising in immersive hotel and restaurant interiors. The Website showcases NUMI's portfolio, services, and capabilities, and may be used to enquire about or engage NUMI's services.

1.3 These Terms apply to all visitors, users, and others who access or use the Website ("you", "your", "User").

2. WEBSITE LICENCE

2.1 Subject to your compliance with these Terms, NUMI grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Website for your personal or internal business purposes only.

2.2 This licence does not permit you to:

(a) reproduce, distribute, publicly display, or create derivative works from any content on the Website without NUMI's prior written consent;

(b) use the Website or its content for any commercial purpose other than engaging NUMI's services;

(c) use any automated tools, scrapers, bots, or data-mining technologies to extract content from the Website;

(d) frame or mirror any part of the Website without NUMI's prior written consent; or

(e) use the Website in any way that could damage, disable, overburden, or impair its functionality or security.

2.3 NUMI reserves the right to suspend or terminate your access to the Website at any time without notice if you breach these Terms.

3. USE OF THE WEBSITE

3.1 You agree to use the Website only for lawful purposes and in a manner consistent with all applicable laws and regulations, including Australian Consumer Law.

3.2 You must not:

(a) violate any applicable laws or regulations, including those relating to privacy, intellectual property, or consumer protection;

(b) transmit any material that is unlawful, defamatory, offensive, or otherwise objectionable;

(c) interfere with or disrupt the security, integrity, or performance of the Website or its underlying infrastructure;

(d) attempt to gain unauthorised access to any part of the Website, its servers, or any connected systems; or

(e) impersonate any person or entity or misrepresent your affiliation with any person or entity.

3.3 NUMI reserves the right to investigate and take appropriate legal action against anyone who, in NUMI's sole discretion, violates this clause.

4. SERVICES

4.2 All services described on the Website are subject to availability. NUMI reserves the right to modify, suspend, or discontinue any service at any time.

4.3 The engagement of NUMI's design services is governed by a separate written services agreement entered into between NUMI and the client. These Terms do not constitute an offer to provide services and do not form part of any project-specific services agreement unless expressly incorporated by reference.

4.4 Portfolio images, project descriptions, and case studies displayed on the Website are provided for illustrative purposes only and do not constitute a guarantee, representation, or warranty of any specific outcome for any future project.

5. ENQUIRIES AND CONTACT

5.1 If you submit an enquiry through the Website, NUMI will use the information you provide to respond to your enquiry and, where relevant, to assess whether NUMI's services are suitable for your needs.

5.2 Submitting an enquiry does not create a binding contract or obligation on either party. Any engagement of NUMI's services will be subject to a separate written agreement.

5.3 NUMI aims to respond to enquiries within 2 business days but does not guarantee a response within any particular timeframe.

6. PRICING AND PAYMENTS

6.1 Any indicative pricing displayed on the Website is in Australian Dollars (AUD) and is exclusive of Goods and Services Tax (GST) unless expressly stated otherwise. GST will be added to all applicable supplies at the prevailing rate.

6.2 Firm pricing for NUMI's services is provided in a written fee proposal or scope of works issued to the client and is not determined by any indicative pricing on the Website.

6.3 Where payment is processed through the Website (for example, for deposits or digital products), payments are processed securely via third-party payment providers including Stripe. NUMI does not store your payment card details.

6.4 NUMI reserves the right to refuse or cancel any order or transaction at its discretion, including where there is a suspected error in pricing or availability.

7. INTELLECTUAL PROPERTY

7.1 All content on the Website, including but not limited to text, images, graphics, photographs, illustrations, branding, logos, design concepts, and project documentation ("Website Content"), is owned by or licensed to NUMI Collective Pty Ltd and is protected by the Copyright Act 1968 (Cth), trade mark laws, and other applicable intellectual property laws.

7.2 You may not reproduce, distribute, adapt, publicly display, transmit, or otherwise use any Website Content without NUMI's prior written consent, except as expressly permitted under these Terms or applicable law.

7.3 NUMI retains all moral rights in its original works as provided under the Copyright Act 1968 (Cth). Nothing in these Terms constitutes a waiver of those moral rights.

7.4 If you submit any content, materials, or information to NUMI through the Website (including via enquiry forms), you grant NUMI a non-exclusive, royalty-free licence to use that material for the purpose of responding to your enquiry and assessing your project requirements.

7.5 The intellectual property rights in design deliverables created for clients are governed exclusively by the applicable project services agreement. Nothing in these Terms transfers any ownership of project deliverables to any party.

7.6 NUMI's name, logo, and trading name "NUMI Collective" are trade marks of NUMI Collective Pty Ltd. You must not use them without NUMI's prior written consent.

8. CONSUMER GUARANTEES AND AUSTRALIAN CONSUMER LAW

8.1 Nothing in these Terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition, implied or imposed by the Competition and Consumer Act 2010 (Cth) (including the Australian Consumer Law) or any other applicable legislation that cannot lawfully be excluded or limited.

8.2 To the extent that NUMI's services are supplied to a "consumer" as defined under the Australian Consumer Law, NUMI's services come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the services remedied if they fail to be of acceptable quality and the failure does not amount to a major failure.

8.3 Where NUMI's liability cannot be excluded but can be limited, NUMI's liability is limited, at NUMI's election, to:

(a) the resupply of the relevant services; or

(b) the payment of the cost of having the relevant services resupplied.

9. LIMITATION OF LIABILITY

9.1 Subject to clause 8, and to the maximum extent permitted by law, NUMI excludes all liability to you or any third party for:

(a) any indirect, incidental, special, consequential, or punitive loss or damage;

(b) loss of profits, revenue, data, goodwill, or business opportunity;

(c) any loss or damage arising from your use of, or inability to use, the Website or any content on it;

(d) any loss or damage arising from errors, omissions, interruptions, or delays in the Website; or

(e) any loss or damage arising from third-party content, links, or services accessible through the Website.

9.2 To the maximum extent permitted by law, NUMI's total aggregate liability to you in connection with these Terms or the Website (other than liability that cannot be excluded under clause 8) is limited to AUD $100.

9.3 Nothing in these Terms limits NUMI's liability for fraud, wilful misconduct, or any other liability that cannot be excluded by law.

10. PRIVACY

10.1 NUMI collects, uses, and discloses personal information in accordance with its Privacy Policy, available at NUMI Collective Privacy Policy | Data Protection & Client Confidentiality — NUMI Collective ("Privacy Policy").

10.2 By using the Website, you consent to the collection and use of your personal information as described in the Privacy Policy.

10.3 NUMI complies with the Privacy Act 1988 (Cth) and the Australian Privacy Principles. NUMI's Privacy Policy sets out how you may access and correct your personal information and how to make a privacy complaint.

11. THIRD-PARTY SERVICES AND LINKS

11.1 The Website may integrate or link to third-party tools, platforms, or services, including payment processors (such as Stripe) and accounting software (such as Xero). NUMI is not responsible for the privacy practices, content, security, or availability of any third-party services.

11.2 Your use of any third-party service is governed by that third party's own terms and conditions and privacy policy. NUMI encourages you to review those terms before using any third-party service.

11.3 The Website may contain links to external websites. Those links are provided for convenience only. NUMI does not endorse, and is not responsible for, the content of any linked external website.

12. DISCLAIMERS

12.1 The Website and its content are provided on an "as available" basis. To the maximum extent permitted by law, NUMI makes no representation or warranty that:

(a) the Website will be uninterrupted, error-free, or free of viruses or other harmful components;

(b) any information on the Website is accurate, complete, current, or suitable for any particular purpose; or

(c) the Website will meet your requirements.

12.2 Portfolio images and project descriptions on the Website are illustrative only. They reflect past projects completed under specific client briefs and site conditions. They do not constitute a representation that the same or similar outcomes will be achieved for any future project.

12.3 NUMI does not provide structural, engineering, or building certification advice through the Website. Any design information displayed is for illustrative purposes only.

13. CHANGES TO THESE TERMS

13.1 NUMI may update these Terms from time to time to reflect changes in its services, legal requirements, or business practices.

13.2 Where NUMI makes a material change to these Terms, NUMI will use reasonable endeavours to notify registered users or enquirers by email prior to the change taking effect.

13.3 The updated Terms will be posted on this page with a revised "Last Updated" date. For material changes, the updated Terms will take effect [NOTICE PERIOD] days after posting, unless you have been notified by email of an earlier effective date.

13.4 Your continued use of the Website after the effective date of any updated Terms constitutes your acceptance of those Terms. If you do not agree to the updated Terms, you must cease using the Website.

14. DISPUTE RESOLUTION

14.1 If a dispute arises in connection with these Terms or your use of the Website ("Dispute"), the party raising the Dispute must give written notice to the other party describing the Dispute in reasonable detail ("Dispute Notice").

14.2 Within 10 Business Days of receipt of a Dispute Notice, the parties must meet (in person, by telephone, or by video conference) and attempt in good faith to resolve the Dispute by negotiation.

14.3 If the Dispute is not resolved within 20 Business Days of the Dispute Notice (or such longer period as the parties agree in writing), either party may refer the Dispute to mediation administered by the Resolution Institute (or such other mediator as the parties agree) before commencing court proceedings.

14.4 Nothing in this clause prevents either party from seeking urgent interlocutory or injunctive relief from a court of competent jurisdiction.

15. GOVERNING LAW AND JURISDICTION

15.1 These Terms are governed by the laws of Victoria, Australia.

15.2 Each party irrevocably submits to the non-exclusive jurisdiction of the courts of Victoria and the Federal Court of Australia in respect of any proceedings arising in connection with these Terms.

16. GENERAL

16.1 Entire agreement: These Terms, together with NUMI's Privacy Policy and any applicable project services agreement, constitute the entire agreement between you and NUMI in relation to your use of the Website and supersede all prior representations, agreements, and understandings.

16.2 Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect.

16.3 Waiver: A failure or delay by NUMI to exercise any right or remedy under these Terms does not constitute a waiver of that right or remedy.

16.4 Assignment: You may not assign or transfer any rights or obligations under these Terms without NUMI's prior written consent. NUMI may assign its rights and obligations under these Terms without your consent.

16.5 No agency: Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and NUMI.
